Memorandum of Association

Under the Societies Registration Act XXI of 1860

 

  • The Name of the Society is : SAGHEER FOUNDATION
  • The Registered office: Flat No.2,2nd Floor, Mughal Plaza, Mohra Colony, NABEEL  Road Rawalpindi
  • The objectives for which the society is established:

 

1.     To open and run institutions of learning schools, colleges and to plan, develop and establish educational/training institute like libraries/reading rooms for the members and general use of public.

2.     To establish free healthcare facilities for disadvantaged people especially in mental health, drug addiction, blood transfusion(Blood Bank)

3.     To print books, periodicals, newspapers, pamphlets, leaflets, banners, posters and to adopt all those measures which may be considered desirable for the promotion of the objects society or any of them.

4.     To encourage, promote, support or arrange symposia, seminar, lectures, classes, demonstration and exhibition to advance the objectives of the society.

5.     To print publish, issue, circulate carry awareness campaign regarding education, health support for children and widows.

6.     Poverty alleviation through preparation of individuals.

7.     To establish ,build, setup and manage computer training institute in the field of information technology

8.     To undertake in any other manner, the diffusion of useful knowledge.

9.     To provide free uniform and educational facilities to needy and deserving students.

10.            To establish clinics, hospitals and fieldwork in healthcare sector and to conduct awareness programmes through pamphlets, brochures, banners.

11.            To hold exhibitions, health awareness programs.

12.            To provide vocational training with special emphasize to women health and education.

13.            To establish the setup regarding the legal aid of the destitute and disadvantaged people especially women.

14.            To adopt all sorts of measures for the betterment and welfare of wildlife.

15.            To setup the institution for boarding, lodging and counseling of old age citizen and continue for their betterment and care.

16.            To support the working women in any manner whatsoever in the male dominant society and help them by providing shelter and care in separate institution

17.            To do all sorts of act and adopt such measures to stop or reduce child labour in society.

18.            To assist the public regarding their right being consumer under the prevalent laws of the country.

 


 

 

ARTICLES OF THE SOCIETY

 

Name of the Society is  SAGHEER FOUNDATION

Registered office of the foundation is situated at: Flat No.2,2nd Floor, Mughal Plaza, Mohra Colony, NABEEL  Road Rawalpindi

 

1.      Membership

 

i.        Qualification

 

Any person may become a member of the foundation if he:

(a)               Subscribes to the objectives of the foundation.

(b)              Is recommended by Executive Council.

(c)               Has paid his membership fee specified  by the Educational council.

 

 

ii.       Disqualification

 

A person shall cease to be a member of the foundation upon

 

(d)              Death

(e)               Resignation

(f)                 Incapacity/ corruption

(g)               Expulsion by a resolution of the Executive Council.

(h)              His/ her failure to pay annual membership fee or any other fee or dues specifies by the Executive Council within a period of three months from the date of being due for payment.

 

    2,(a)        Honorary Member

 

          A person who has made communicate, contributions to promote aims and objects of the society which have been recognized by the foundation and a person who donate vehemently for promotion of objectives and considered and approved by Executive Council may be given the status of a member of the Foundation however, he/ she will not have the right to vote.

 

   (b)        Ex-Officio Member

 

Any employee of the foundation or any prominent person or / and agreeable can be nominated as Ex-Officio Members by the Executive Committee. He will not have the right to vote.

 

 


3.           Register of Membership

 

The Foundation shall maintain a register of membership in which the name and address of every members shall be entered on the following prescribed format

4.      Management and Administration

 

 

The management of the foundation shall vest the following bodies.

 

(a)               Executive Council

(b)              General Council

(c)               Board of Governors

 

5.      Executive Council.

 

(a)      The general council  who shall control and manager the affairs of the foundation        will elect the Executive Council.

 

(b)              The number of members of Executive Council shall not be less than seven or the Executive Council may determine as it would be increased according to the foundation’s requirements.

(c)               The Executive council shall hold office for three years. A retiring office bearer shall be eligible for contesting election..

(d)              Executive council shall have the right  any casual vacancy arising out on to the Executive Council in the annual meetings or meeting held in accordance with rules and regulations of the foundation by majority of the vote.

(e)               To ensure that funding is available to support to on going running and unkeep of the projects and is used in an appropriate manner, consistent with.

(f)                 Ensuring the sufficient, qualified and trained staff is employed to run the project.

(g)               The Executive Council shall consists on the following office bearers.

(h)              The Executive Council shall consists on the following Office Bearers:

·        President

·        Vice President

·        General Secretary

·        Joint Secretary.

·        Secretary Information.

·        Finance Secretary.

 

 

Power and duties of Office Bearers:

 

1.     President

 

Provided that Sajid Rehman Qureshi will be the first president.

 

i)                   In case of his inability or any other cause, if he is unavailable to perform the function of his office and Sajid Rehman Qureshi is alive, he will hold the charge of the President.

ii)                 Will preside the meetings of the foundation.

iii)              Will be the Chief Administrator of the foundation.

iv)                Can call or adjourn any meeting according to the prevailing circumstances.

v)                  Shall appoint, remove, dismiss and retire the employees of the foundation and pass orders regarding their pay, leave promotion, demotion, suspension, dismissal etc. subject to the approval of the Majority of the Council and   the decision of this body shall be final and not challengeable in any court of law.

 

 

2.    Vice president

 

i)                   The Vice president will act as president in absentia of President will assist the president in performance of his duties.

 

 

3.    General Secretary

 

i)                   Will act as General Secretary.

ii)                 Will be the Incharge of the office of the foundation.

iii)              Will write down the minutes of the meetings of the foundation.

iv)                Will keep up to date record of the proceedings of the meetings and get it signed by the members of the foundation.

v)                  Will correspond with the government officers or other agencies.

vi)                Can exercise special opinion/ power in case of equal votes.

vii)             Will sign the important papers and accounts books.

viii)           Will conduct the administration as well as teaching of staff.

ix)               He will also take the decision of purchase and other important decision.. He also have rights to appoint the staff of the foundation.

 

 

4.    Finance Secretary:

 

i)                   Will maintain correct and up to date accounts of the foundation.

ii)                 Will disburse pay to the staff.

iii)              Will collect donations, subscription and etc from the members of any kind/ non-members and will issue proper receipts in token thereof.

iv)                Will prepare the Account books and keep relevant record in his safe custody.

v)                  Will prepare balance sheet, income and expenditure statement of the foundation and will put it before the Auditor appointed by the Executive Council in Annual General Meeting.

 

5.    Joint Secretary

 

(i)                 Will assist the General Secretary in performance of his duties

(ii)              Will maintain the files of record.

 

 

6.    Secretary information.

 

i)        Will be responsible to make arrangements in consultation with the Executive Council for function and perform other cultural, literary and similar allied duties required for

the benefit of the foundation.

 

ii)                 Will supervise the publications of the periodicals of the foundation and will also arrange the publicity and activities of the forum.

 

 


6.    General Council

 

All the members of the foundation having the right for casting vote in the course of election shall form the General Council.

 

 

7.    Powers and duties of General Council.

 

i.                   To elect the office bearers/ Executive Council.

ii.                 To consider and approve the annual reports of Executive Council.

iii.              To approve development plans/ new project and monitor their implementation.

iv.                To assist the Executive Council in performance of duties.

v.                  To delegate all or any its powers to such other committee (s) and member (s) as it may consider suitable.

 

8.    Board of Governors

 

1.                 The Executive Council constitute  a Board of Governors of the foundation.

2.                 The Executive council may seek advice from the board of governors on such matters as it may deem fit.

3.                 The Board of Governors  shall consist of 7 members.

4.                 The Board of Governors may attend the meetings of the foundation.

5.                 The Executive Council may entrust the management of its constituent projects of any of there department  to a member of Board of Governors on such terms and condition deem fit

6.                 The Executive Council may constitute and appoint such committees from the Board of Governors, as it may deem necessary for such purpose and such terms and conditions as it may determine.

 

 

9.    Sources of income

 

The following are the sources of income of the foundation:

 

i.                   To receive membership fees, subscription, contributions, donations aid, grant and funds by way of capital or income or whether occasional or recurring from members, students and from any foundation, institution and the institutes affiliated with the foundation.

ii.                 To receive endowments, charities and donation, grants and aid from any person, body, institute and from any government  agency (National and International) for the furtherance of funds of the foundation.

iii.              Donations from Government and Non-Government Donor organization.

iv.                Funds raising campaigns.

v.                  Income Generating projects.

vi.                Investment and saving schemes etc.

vii.             To do such other activities that may promote the objectives of the society and also be useful to social welfare and economic uplifting of the beneficiaries and masses as may be determined.


 

10.    Election

 

i.                   The election of the foundation/ executive council/ officer bearer will be held after every two years.

ii.                 The members of the Executive Council/ Office Bearers are eligible for re-election.

iii.              The presence of the candidate is essential during the election or in his absentia his written consent for election shall be necessary.

iv.                One member has only one vote.

v.                  The electorate shall cast their votes only in person and not through proxy.

vi.                If any member is sick or gone outside the country can cast his vote through proxy or by telex which should reach 24 hours before holding the election.

vii.             Balloting of the procedure unanimously decided by the Executive Council shall hold the election.

viii.           Any office bearers can be change with the majority of the members and not be challenged in any court.

 

11.            Accounts and Audits.

 

The audit committee will audit annual financial transaction s. The qualified Chartered Accountant can also be hired if needed, for the purpose of audit.

 

12.           Bank Accounts:

 

The funds of the foundation will be kept in a scheduled bank in the name of foundation and in other cities as per requirements. Bank account will be opened and operated by President, Vice President and General Secretary or any tow of them.

 

13.           Indemnity

 

The members of the foundation and the functionaries of the foundation shall be indemnified by the foundation against all losses, damages and expenses occasioned by any error of judgment or oversight in their duties  of office. The Foundation shall also indemnify the against all expenses necessarily incurred by them in the defense of any action, suit or proceedings in which any of them are made parties by reason of being or having been office bearers of the foundation and functionaries of the foundation.

 

14.           Meeting.

 

i.                   The annual General Meeting will be held in the month of June every year.

ii.                 The president can convene an emergent meeting at any time within 24 hours notice.

iii.              The general meeting can be convened at the  request of Executive Council or 1/3rd Member of the society.

iv.                The meetings of the Executive council will be held as and when necessary with the permission of president.

v.                  Voting will be held by show of hands but incase of objection, the president can order for balloting.

 

15.           Meetings and Executive Council

 

i.                   The members of Executive Council shall hold meetings after every three months to determine the ways and means for satisfactory completion of projects.

ii.                 The president can convene an emergent meeting at any time within 24 hours  notice.

iii.              All the decisions of Executive Council shall be made 2/5 majority of the members in due consideration of the objective of the foundation.

 

 

16.           Meeting of Board of Governors.

 

i.                   The Office Bearers of the Board of Governors shall meet at least once in year.

ii.                 The Board can convene an emergent meeting with the approval of president of the Executive Council for the consideration of assignments/ job describes assigned to the Board.

iii.              The members of the Executive Council can participate in the meeting of the Board of Governors. The president of the Foundation will chair the meeting.

iv.                All the business so assigned shall be transit in the meeting and 2/3rd majority shall take the decisions in this respect.

 

17.           Quorum

 

The quorum for the meeting will be 2/3rd .

 

18.           Amendment to the rules and regulations.

 

All amendments to the rules and regulations will be affected with the approval of 3/5th majority.

 

19.           Vote of no confidence.

 

Vote of no confidence against any office bearers of the foundation will be passed by the executive council members at least  2/3rd majority and after that the same will be approved in the general council meeting.

 

 

20.    Dissolution.

 

          In the event of dissolution of the foundation, the assets after meeting its abilities shall be transferred to any other society registered under the Foundation  Registration Act XXI of 1860.
